1. Nature of the Service & No Reliance

CatchmentFlow is a digital analytics and business intelligence tool designed solely for lead generation, high-level territory planning, and workflow efficiency. Our services are delivered via custom interactive maps, dedicated Google Sheet environments, automated data feeds, and downloadable reports (including PDFs).

While we strive for 99% uptime of our automated data feeds, CatchmentFlow relies on third-party government portals. We do not guarantee uninterrupted data flow and are not liable for temporary outages caused by upstream government data sources.

Not an Engineering Tool: CatchmentFlow is not a substitute for physical site surveys, engineering assessments, or statutory utility checks.

Mandatory BYDA Compliance: You acknowledge that underground infrastructure data changes frequently. CatchmentFlow does not replace your strict legal obligation under Australian law to consult Before You Dig Australia (BYDA) and obtain official, up-to-date utility plans prior to commencing any excavation or earthworks. CatchmentFlow accepts zero liability for infrastructure damage, strikes, or occupational health and safety incidents.

2. Fees, Billing, and Taxes

All prices are listed and processed in Australian Dollars (AUD). CatchmentFlow operates as a B2B service provided by a foreign resident entity. Therefore, no Goods and Services Tax (GST) is charged on your subscription. Under Australian Taxation Office (ATO) rules, a "Reverse Charge" applies, and the purchaser is responsible for their own tax assessments.

3. Intellectual Property, Acceptable Use & Data Restrictions

CatchmentFlow grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform strictly for your internal business operations. CatchmentFlow retains all proprietary rights, title, and interest in the platform, including the underlying software, aggregated databases, visual mapping interfaces, and the compilation of all third-party and open-source data layers.

Prohibited Conduct & Data Extraction:

As a condition of your license, you explicitly agree that you will not, under any circumstances, directly or indirectly:

Account Sharing: Share your dedicated CatchmentFlow Google Sheet URLs, Map links, downloadable PDF reports, or billing portal access with any third party. This prohibition strictly includes other businesses, competitors, sub-contractors, non-employee consultants, or any individuals outside of your single registered business entity.

Resell or Sublicense: Resell, redistribute, lease, or sub-license access to the CatchmentFlow platform, its maps, or its underlying data to any third party without express written consent.

Copy or Mass-Download: Download, export, copy, or capture bulk data, property lists, visual map tiles, or automated PDF reports outside of the standard manual or bulk-paste functions provided in your dedicated Google Sheet.

Scrape or Automate: Deploy any web scrapers, spiders, robots, API interceptors, or automated extraction tools to mine, harvest, or extract data from the CatchmentFlow platform or its underlying servers.

Create Derivative Works: Use the data, maps, or insights provided by CatchmentFlow to build, train, or populate a competing commercial database, software application, or lead-generation service.

Breach of Acceptable Use & Audit Trail: CatchmentFlow employs automated monitoring to detect anomalous data extraction or unauthorized account sharing. This monitoring is strictly limited to metadata—such as IP addresses, login timestamps, and data request volumes—to ensure compliance with territory and account-sharing restrictions. We do not monitor, view, or scrape the private business data you input into your dedicated tools. Any violation of these data restrictions constitutes a material breach of this Agreement. In the event of a breach, CatchmentFlow reserves the right to immediately suspend or terminate your account without refund and pursue legal remedies.

Territory Violations: Attempt to bypass our geofencing controls or use the platform to process, score, or extract data for postcodes and territories outside of your approved, paid subscription boundaries.

4. Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law (ACL), CatchmentFlow excludes all liability for indirect, incidental, or consequential losses (including loss of revenue, equipment damage, or third-party claims). In all events, CatchmentFlow’s maximum aggregate liability to you for any claim arising out of this agreement is strictly limited to the total subscription fees you paid to CatchmentFlow in the twelve (12) months immediately preceding the event giving rise to the claim.

5. Term, Cancellation, and Termination

5.1 Cancellation: CatchmentFlow operates on a subscription basis. You may cancel your subscription at any time via your secure Stripe billing portal link (provided upon signup) or by contacting support. Cancellation will take effect at the end of your current paid billing cycle. You will retain access to the tools until that cycle concludes. CatchmentFlow does not provide pro-rata refunds for partial months of service or unused time.

5.2 Annual Subscriptions and Cancellations: CatchmentFlow offers discounted annual subscription plans ("10+2 Plans"). By purchasing an annual plan, you agree to pay for the entire 12-month period upfront. You may cancel your subscription renewal at any time via your account settings; however, we do not offer prorated refunds for "change of mind" or early cancellations prior to the end of the current annual billing cycle. Your access to the software will remain active until the end of your paid 12-month term.

5.3 Termination for Breach: CatchmentFlow reserves the right to immediately suspend or terminate your account, without notice or refund, if we determine that you have breached these Terms of Use, specifically including but not limited to the Intellectual Property and Data Restrictions.

5.4 Data Sovereignty & Zero CRM Access: CatchmentFlow is a "Zero-Access" platform. We do not require, request, or support integration with your private CRM or customer databases. You are solely responsible for any data you manually paste into your Strategy Hub Google Sheet. CatchmentFlow does not "see" or store your customer names or private job history.

5.5 Statutory Rights: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (ACL). The "no prorated refunds" policy applies strictly to change-of-mind cancellations and does not affect your right to a remedy if there is a major failure of the software as defined by the ACL.

6. Refunds and Consumer Guarantees

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Queensland. Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). For major failures with the service, you are entitled to cancel your service contract with us and receive a refund for the unused portion. However, subject to your rights under the ACL, CatchmentFlow does not offer refunds for "change of mind," failure to utilize the platform, or failure to cancel your subscription prior to the automated renewal date.
